Activate 2025 Registration Terms & Conditions

Introduction. Welcome to Coalition Activate 2025! Coalition, Inc. is excited to have you join us (collectively, “Coalition”, “we”, or “us”). Please read the following Activate Registration Terms and Conditions (“Registration Terms”) carefully as it contains important information regarding your attendance and participation in our event.  By registering for and attending Activate 2025 and related activities (the “Event”) you (“Registrant”) hereby acknowledge and agree to be bound by these Registration Terms, which include and incorporate by reference the Privacy Policy and Terms of Use. Submission of a registration is regarded as an affirmation of your acceptance of these Registration Terms.

Registration and Payment.

  • Registration. All attendees must register for the event. Registration is not confirmed until payment is received in full. 

  • Payment. Payment must be made at the time of registration. We accept various forms of payment. Registrant may pay the registration fees for Activate by credit card. Invoice and payment by wire or ACH can be requested and will be agreed to by Coalition prior to registration, on a case-by-case basis, however is not guaranteed. If the Registrant has any balance due five days prior to the start of the Event, the Registrant will be required to pay the full non-discounted price for the package selected before being granted access to the event.

Cancellation/Modification, Substitutions, Refund and Sell Out.

  • Cancellations/Modifications. The Event program schedule is subject to change at any time without prior notice, and Coalition cannot guarantee the attendance of any exhibitor or speaker. Coalition and/or its employees, vendors, agents, and contractors (collectively, its “Representatives”) will not be held liable, and no reimbursement will be made, if the Event is modified or rescheduled as a result of any issue, event or occurrence that is beyond Coalition’s control.

  • Substitutions. Substitutions for another attendee representing the same company are allowed with the written permission of the Registrant and with prior written approval from Coalition, up to the start of the event. Substitute attendees must also agree in writing to these Terms and Conditions. Registrants may submit a request for substitution to Coalition at events@coalitioninc.com.

  • Refunds. Registrations may be refunded if canceled in writing to the Event Coordinator up to fifteen (15) days prior to the Event. If a registration is requested to be canceled between one and fourteen (1-14) days before the event, or during the event, no refund will be given - “No Shows” and cancellations received within fifteen (15) days of the event are nonrefundable.

  • Sell out: In the event of a ‘sell out’, all attendees must have been registered ahead of the event being marked as sold out, and received a confirmation of their ticket in order to attend the event. No tickets will be available for purchase on-site in the event of a sell out.

Denial of Registration, Entry or Participation. Coalition reserves the right, in Coalition’s sole discretion, to deny registration or in-person or virtual entry to any individual or entity for any reason.

Event Conduct and Policies.

  • Code of Conduct. Coalition employees who register for the Event must adhere to Coalition’s code of conduct. Registrants must behave in a professional manner at all times during the Event, and adhere to the Coalition Event Code of Conduct. Coalition does not permit loud, abusive or defamatory language, harassment or other unprofessional or inappropriate behavior at the Event at any time. This restriction is inclusive of, but not limited to, race, color, religion, sex, gender, gender identity or expression, physical disability or mental disability, sexual orientation, or any other basis or characteristic protected by applicable law (each a “Protected Category”). All participants must abide by the following policy:

    • Expected Behavior

      • Be considerate of those around you

      • Be respectful of others with viewpoints that may be different from your own

      • Be mindful of your words and actions

    • Unacceptable Behavior. Unacceptable behaviors may include, but are not limited to:

      • Offensive or unwanted behavior or language related to race, religion, color, national origin, sexual orientation, gender expression or identity, transgender status, age, disability, veteran or marital status, or any other protected categories under applicable law

      • Visual harassment, such as sexual images or sexual language at the event, including presentations and slide decks

      • Intimidation or bullying

      • Any other offensive or illegal activity not already covered above

      • Sharing your event registration with another person(s) without transferring the ticket

      • Failure to follow any of the rules or regulations of the event or local laws

    • Consequences of Unacceptable Behavior. Unacceptable behavior will not be tolerated. In the event of unacceptable behavior being reported or observed, Coalition may take any action they deem appropriate, at the sole discretion of the conference organizers, up to and including expulsion from the event without an initial warning. Such behavior could also result in debarment from future Activate events. If appropriate, local law enforcement may be involved.

    • Reporting behavior. If you are the subject of or witness to any violations of the Code of Conduct, please contact a member of Activate’s event staff immediately, or contact us by sending an email to events@coalitioninc.com.

Views. The views expressed by any event attendee, speaker, exhibitor, or sponsor are not necessarily those of Coalition. All event attendees, speakers, exhibitors, and sponsors are solely responsible for the content of any and all individual or corporation presentations, marketing collateral, advertising, and online Web content.

Privacy Policy. Coalition has developed a Privacy Policy that covers how it collects, uses, and discloses information from you. Please visit the Privacy Policy for full details.

Media Release and Waiver of Rights.

  • Media Release. Photography, Audio and Video Recordings. Registrant acknowledges that Coalition or its authorized Representatives may conduct in-person or virtual interviews of attendees, including Registrant, during the Event and photograph, screenshot, audiotape, videotape or otherwise record any activities or presentations at the Event. Registrant hereby irrevocably grants to Coalition and its authorized Representatives, for no royalties or other compensation from or related to the use of the Recorded Material(s) (as defined below), the rights (a) to record by any means (i) Registrant’s name, likeness, image, user name, biographical information, voice and/or the content of any interview with Registrant (such information collectively, “Recorded Material(s)”) and (b) to crop, splice, treat, edit and use the Recorded Material, at its sole discretion, in any and all media or form of communication, whether now existing or hereafter developed, including in connection with Coalition’s internal and external marketing and promotional material and activities. To the extent Registrant has any rights in any Recorded Materials, Registrant hereby assigns to Coalition all rights, title and interests in and to the Recorded Material.

  • Waiver of Rights. By registering and attending the Event, you represent and warrant that you hereby waive all rights and release Coalition from any claim or cause of action, whether now known or unknown, for defamation, invasion of the right to privacy, publicity or personality, or similar matter, or based upon or relating to the use and exploitation of the Recorded Material(s) as contemplated herein, including but not limited to any reuse, distortion, blurring, alteration, optical illusion or use in composite form, either intentionally or otherwise, that may occur or be produced in the production of the finished product. 

Liability and Indemnification.

  • Limitation of Liability. IN NO EVENT WILL COALITION BE LIABLE TO THE OTHER PARTY (WHETHER UNDER CONTRACT, TORT OR OTHERWISE) ARISING OUT OF OR RELATING TO THIS AGREEMENT WITH RESPECT TO ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES (IN EACH CASE, WHETHER OR NOT FORESEEABLE CONTEMPLATED OR ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL COALITION BE LIABLE TO THE OTHER, WHETHER IN CONTRACT, TORT (INCLUDING ACTIVE OR PASSIVE NEGLIGENCE) EXCEED THE AMOUNT OF FEES ACTUALLY PAID BY REGISTRANT TO COALITION UNDER THIS AGREEMENT.

  • Indemnification. Registrant shall defend, indemnify and hold harmless Coalition and its affiliates, subsidiaries, successors and assigns, and each of its respective employees, contractors, officers, directors, and agents (collectively, Indemnified Parties) from and against any and all third party claims, suits, all liabilities (including strict liability), judgements, claims, damages to persons or property, losses, and costs, or expenses, including reasonable attorney’s fees, costs and interest (collectively, “Claims”)), arising out of or caused by the (i) Registrant’s in-person and participation in the Event, including, but not limited to, claims for property damage or bodily or personal injury, including physical or reputational harm; (ii) Registrant’s gross negligence or willful misconduct, or any more culpable acts or omissions in connection with the Registrant’s attendance or conduct at the Event, except to the extent caused by the Indemnified party’s or its agent’s negligence or willful misconduct; or (iii) breach of this Agreement including any representation, warranty, or covenant contained herein. 

Registrant Recordings. Registrant acknowledges that other Event attendees, including journalists, may be permitted to record (by screenshot, photograph, audiotape, videotape or other recording means) activities (such recordings, “Registrant Recordings”) and Event attendees, including Registrant, in the public areas of the Event (“public areas” do not include in-person or virtual Session Rooms, Keynote or Mainstage Presentations). Registrant Recordings may only be used for personal or non-commercial purposes, and may not be used by Registrant or other Registrants or other person to suggest any endorsement or sponsorship by or of Coalition. Use of Registrant Recordings for commercial purposes requires the prior written permission of Coalition. Coalition is not responsible for Registrant Recordings by attendees that contain Registrant’s name or image. Keynote and/or Mainstage Presentations may not be recorded in any form by Registrant(s).

Event Community and App. In association with attending Activate, you will have the option to download the mobile app to help you communicate with attendees, navigate the conference, and plan your schedule. Coalition has engaged Swoogo to host the app. By attending the event, certain personal information is automatically added to your profile in the app and visible to other attendees, Coalition, sponsors, and partners. The personal information in your profile includes name, job title, and company. You can edit your profile and visibility by logging into the app.

Badge Scanning. While attending Activate, you may choose to have your badge scanned by a sponsor or partner. By allowing a sponsor or partner to scan your badge, you are consenting to the disclosure of personal information to them (including name, email, phone number, and job and employer-related information) and you may be contacted by them in the future. The privacy practices of the sponsor or partner collecting your information governs their use of your data. Please refer to their privacy policy for more information or to exercise choices with respect to the use of your personal data.

Weapons. Firearms, explosives, knives, and any other weapons that might be considered dangerous or that could cause harm ("Weapons") are not permitted at Conference Name. If the Registrant brings a Weapon to the Event, the Registrant will be asked to leave the Event immediately and no refund will be issued.

Animals. Except for guide, signal or service dogs (as defined by law), no live animals or pets are permitted at the Event facilities without Coalition’s prior approval.

COVID-19. Coalition reserves the right to require that the Registrant provide proof of a negative COVID-19 test and/or proof of vaccination (including any boosters) against COVID-19 before arriving at Event or any Event facility. Further, Registrant agrees to (a) comply with any and all Coalition-mandated COVID-19 protocols, even if such protocols are different from/more restrictive than any local, state or federal governmental protocols, and (b) abide by the Coalition Event COVID-19 Rider. If the Registrant fails to comply with any Coalition-mandated COVID-19 protocol, the Registrant will be asked to leave the Event immediately and no refund will be issued. You may be asked to show proof of your recent negative COVID-19 test or vaccination status or sign an attestation stating you have been or will be fully vaccinated, including boosters if it is six months after being fully vaccinated at the time of registration. Coalition reserves the right to modify our COVID-19 or other health and safety protocols at any time given the rapidly changing nature of the global endemic.

Changes to Terms. We may modify these Registration Terms at any time by posting a revised version on the Event website. The modified Terms and Conditions will become effective upon posting. By attending the Event after the effective date of any modifications to these Registration Terms, you agree to be bound by the modified Registration Terms. We last modified these Registration Terms on the date listed at the beginning of these Registration Terms.

Miscellaneous. Coalition’s failure to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder. Coalition shall not be liable for any failure to fulfill its obligations If any section of this Agreement shall be found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable, or sub-licenseable by you except with Coalition’s prior written consent. This Agreement shall be governed by and construed in accordance with the laws of the U.S. and the laws of the State of Delaware, as applicable, without reference to the choice of law principles. Registrant hereby submits to the jurisdiction of the state and federal courts of the State of Delaware for all disputes arising out of or relating to this Agreement and waives any objections to the proprietary or convenience of the venue in such courts. This agreement constitutes the entire agreement of the parties with respect to the subject matter hereof. No agency, partnership, joint venture, or employment is created as a result of this Agreement, and you acknowledge that you do not have any authority of any kind to bind Coalition in any respect whatsoever.
